Precision Elements Ltd – Terms and Conditions

Company Information: Precision Elements Ltd (the "Company", referred to as "we" or "us") is a New Zealand registered company (Company No. 9044452) with its registered address at C/- WK Advisors and Accountants, 2 Alfred Street, Blenheim 7201, Marlborough, New Zealand. These Terms and Conditions ("Terms") apply to all sales of our products, whether through our website (https://www.pelletpressdiesets.com) or via our quotations and invoices. By placing an order or using our website, you (the "Customer") agree to these Terms. (Quotes are generally valid for 30 days and all orders are subject to acceptance by us.)

Prices and Payment

  • Pricing: Prices are as listed in our quotations or on our website. Unless expressly stated otherwise, prices are in USD and taxes are included (except for New Zealand GST (15% Goods and Services Tax) and Great British VAT (20% Value Added Tax). All prices exclude any applicable taxes, duties, and shipping costs. International orders do not include any taxes or import duties that may be applied in the destination country and are payable by the customer.
  • Payment: Payment must be made in full using accepted methods before we dispatch your order, unless we have a company purchase order from an approved customer. Accepted payment methods include major credit/debit cards and electronic payment options (as indicated on our website or invoice). We do not accept cheques. If we have agreed to provide goods on credit and you fail to pay by the due date, we may suspend or cancel the order, and you will be responsible for any additional costs (such as debt collection fees).

Delivery, Risk and Title

  • Delivery & Delays: We will provide an estimated delivery date or lead time for your order and will strive to meet it. However, delays can occur and we will keep open communication with you about this. If delivery is delayed by more than 6 weeks beyond the estimated date, you may cancel the affected order for a full refund of any amount you have paid for the undelivered items. We are not liable for any losses or damages resulting from delivery delays.
  • Risk & Title: Risk of loss or damage to products passes to you upon delivery to the address you provided (or upon collection by you/your shipping agent). Title (ownership) to the products remains with us until we have received full payment. If you fail to pay for the products as agreed, we reserve the right to retrieve or reclaim those products.

Use of Products and Safety

  • Responsible Use: You are responsible for the safe and proper use of our products. Always follow all instructions, guidelines, and recommended procedures provided. Use appropriate safety measures (e.g., wear safety glasses, gloves, and other personal protective equipment) and ensure that anyone using the products is aware of proper operation. Do not exceed the specified limits (such as maximum pressure or force) for any product, and only use equipment that is rated for those limits.
  • No Misuse: Do not use our products for any purpose or in any manner other than as intended and specified. Modifying the products or using them under abnormal or unsafe conditions is strictly at your own risk.
  • Safety and Liability: By using our products, you assume all responsibility for their operation. Precision Elements Ltd is not liable for any injury, damage, or loss arising from improper use, misuse, or failure to follow safety instructions and applicable procedures.

Custom Products

Custom-manufactured items (such as custom die sets, custom-sized CIPs Or changes to design or use of standard products) are produced according to the specifications, drawings, instructions, or requirements you provide or request. You acknowledge and agree that:

  • No independent guarantee – We do not independently verify or guarantee that custom products will be fit for your specific purpose or safe under all conditions. You are solely responsible for reviewing and validating the design and for conducting any necessary testing (including stress, pressure, or performance testing) to ensure suitability and safety.
  • Your responsibility – Because custom products are made to your requirements, you assume full responsibility for their use. Precision Elements Ltd will not be liable for any injury, damage, or loss resulting from the use of a custom product, especially if it is used beyond the scope of the specifications provided or not in accordance with proper use guidelines.
  • Intellectual property – Unless otherwise agreed in writing, any design, drawing, or tooling we create for a custom product remains the intellectual property of Precision Elements Ltd. Sharing drawings or documents with you for approval does not transfer ownership. You may not use, reproduce, or share our designs for other purposes without our permission.
  • Warranties and indemnity – You warrant that any design, drawing, or specification you supply does not infringe the intellectual property or proprietary rights of third parties. You will indemnify and hold Precision Elements Ltd harmless from all claims, damages, losses, or costs (including legal fees) arising from any claim that a supplied design infringes third-party rights, or from liability due to design defects, misuse, or failure to comply with proper use guidelines.

For clarity, ‘custom products’ include both fully new items manufactured to your specifications and any modifications or variations (however minor) made to our standard products at your request, including use under different conditions, forces, or applications than those we specify. The indemnity obligations in these Terms also apply to all custom products.

Returns and Refunds

  • Unopened Products: If you purchase a standard (non-custom) product and decide you do not want it, you may request a return for a refund of the product price, provided that: (a) the item is unused and in its original unopened packaging (with all parts and labels intact), and (b) you contact us within 14 days of receiving the product to arrange the return. You will be responsible for the return shipping costs. Once we receive the returned product and confirm it is in new, resalable condition, we will issue the refund. (Original shipping costs are not refunded.)
  • Opened/Used Products: We do not accept returns of products that have been opened, used, or removed from their original packaging, except in the case of a verified defect (see the "Faulty Products" section below). This policy is for health, safety, and quality control reasons.
  • Faulty Products: If you receive a product that is defective or malfunctions under normal use, notify us as soon as possible (ideally within 14 days of delivery) with details of the issue. We may request evidence (such as photographs or test data). If the product is confirmed to have a manufacturing or material defect, we will, at our discretion, either replace the product (or the defective component) or refund the purchase price. We will advise you if the item needs to be returned to us. Any required return shipping for confirmed defective products will be at our expense.
  • Custom Items: Custom-made products cannot be returned or refunded unless a manufacturing defect is confirmed by us. If a custom product is found to have a defect that is our fault (e.g., it does not meet the agreed specifications), we will repair or replace it, or if that is not possible, issue an appropriate refund or credit.

Intellectual Property

  • Our IP: All designs, drawings, specifications, and content provided by Precision Elements Ltd — including those on our website and in any documentation — are our intellectual property. This includes product designs, technical drawings, text, images, and trademarks. You are not granted any ownership or license to use our intellectual property by purchasing our products or using our website, other than the right to use the purchased product for its intended purpose.
  • Use Restrictions: You must not copy, reproduce, reverse-engineer, disassemble, or attempt to replicate our products or any part of our designs without our prior written consent. Likewise, you may not use our name, logos, or trademarks without permission.
  • Patents: Some products or technology provided by us may be protected by patents or patent applications. We reserve all rights under any such patents. The sale of a product to you does not grant any license or right under any of our patents beyond the normal use of that product.

Import Duties and Taxes

  • International Customers: When ordering you are responsible for all import duties, taxes, and customs fees that may be imposed by your country. Our product prices and shipping charges do not include these fees. You should check with your local customs office about any potential import costs or restrictions before placing an order. Please ask us if you would like information about where your product will be shipped from.
  • Customs Delays and Fees: We are not responsible for delays caused by customs processing in your country. If you refuse to pay import duties/taxes and the package is returned to us, we can refund you for the product price only after the items are returned to us. (Any original shipping cost and any return fees charged to us by the carrier or customs will be deducted from the refund.) We will not refund shipping costs in such cases.

Force Majeure

  • Precision Elements Ltd will not be liable for any delay or failure to perform any obligation under these Terms if the delay or failure is due to circumstances beyond our reasonable control. Such circumstances include (but are not limited to) natural disasters, severe weather events, fire, epidemic or pandemic, war, terrorism, acts of government or regulations, labor strikes, transportation or supply chain disruptions, or power outages.
  • In a force majeure event, we will notify you as soon as practicable and make reasonable efforts to minimize the impact. Our obligations will be suspended for as long as the event prevents us from performing. If a force majeure situation continues for more than 60 days, either you or we may cancel the affected order by written notice. If an order is canceled due to a force majeure event, any payment you have made for products that were not delivered will be refunded, limited to the amounts actually received by us for those undelivered goods, and neither party will have further liability to the other in respect of that order cancellation.

Limitation of Liability

  • To the maximum extent permitted by law, the total liability of Precision Elements Ltd (including our directors, employees, and agents) to you for any claim related to your purchase or use of our products is limited to the amount you paid for the product in question. We will not be liable for any indirect, consequential, or special damages of any kind. This means we are not responsible for losses such as lost profits or revenue, lost data, damage to other equipment, or any other incidental or consequential loss that may result from the use of our products or from any breach of these Terms.
  • In addition, Precision Elements Ltd is not liable for any loss or damage that results from your own actions, such as misuse of the product or use in violation of the safety guidelines.
  • Except as expressly provided in these Terms or required by law, we make no other warranties or representations about the products. To the extent permitted by law, all implied warranties (including any implied warranties of merchantability or fitness for a particular purpose) are excluded. Where you acquire the products for business purposes in trade, you and we agree that the Consumer Guarantees Act 1993 does not apply, and that it is fair and reasonable to contract out of that Act.
  • Nothing in these Terms excludes or limits rights or remedies that cannot be excluded under the Fair Trading Act 1986 or other mandatory law.

Indemnity Clause

You agree to indemnify, defend, and hold harmless Precision Elements Ltd, its directors, employees, and agents from and against all claims, liabilities, damages, losses, costs, and expenses (including full legal costs) arising out of or related to: (a) your use or misuse of the products, including any use at pressures or forces outside our published guidance or in breach of applicable safety protocols; (b) your breach of these Terms; (c) any claim that products made to your specifications infringe the rights of a third party; (d) your violation of any laws, regulations, or safety requirements applicable to you or to your use, handling, or onward supply of the products; or (e) any claim by a third party relating to your use, modification, or onward supply of the products. To the maximum extent permitted by law, you assume all risks associated with the handling and use of the products, and you must maintain adequate liability insurance (including product and public liability insurance) appropriate to the nature of your use or resale of the products, and provide evidence of such cover upon request and prior to shipment if reasonably requested.

We may, at our discretion, assume the defence and control of any matter subject to indemnification, in which case you agree to cooperate fully with us. For clarity, this indemnity is intended to allocate risk to you as the user or onward supplier of the products. It will not apply only to the extent that a claim is directly caused by our proven negligence or wilful misconduct. This indemnity obligation will survive termination of these Terms and your use of the products.

Governing Law and Jurisdiction

  • These Terms, and any contract to which these Terms apply, are governed by the laws of New Zealand. Any disputes or claims arising out of or relating to these Terms or the sale of products (including non-contractual disputes or claims) will be resolved in accordance with New Zealand law. You agree that the courts of New Zealand shall have exclusive jurisdiction to settle any dispute or claim arising from or related to these Terms or your purchase, provided that if you are a consumer, any mandatory legal rights to bring actions in your home jurisdiction are not limited by this clause.

General

  • Entire Agreement: These Terms, together with any additional terms expressly stated in our quotation, invoice, or agreed drawings, constitute the entire agreement between you and Precision Elements Ltd regarding your purchase. They supersede all prior or contemporaneous communications, whether written or oral, including any promotional or descriptive content on our website or in email correspondence, unless specifically incorporated into the quotation or invoice by reference.
  • Changes: We may update or modify these Terms on our website from time to time. The Terms that apply to your order will be the version in effect at the time of your order (or as attached to a relevant quote or invoice).
  • No Waiver: If we choose not to enforce any part of these Terms, it does not mean we waive our right to enforce that part (or any other part) later.
  • Severability: If any provision of these Terms is found to be invalid or unenforceable by a court, that provision will be adjusted or interpreted in such a way as to make it enforceable, or if that’s not possible, it will be severed from these Terms. In any event, the rest of the Terms will remain valid and enforceable.
